PANDR UG, located at Erich-Weinert-Str. 51, 10439 Berlin, Germany, offers a SaaS-based API solution branded as "Blessed," designed to help artists and organizers monetize their events or happenings through customized APIs. These terms govern your use of our services.

By accessing or using our services, you agree to comply with these terms. If you do not agree, you may not use our services.

2. Eligibility

To use our services, you must:

• Be at least 18 years old.
• Provide accurate and truthful information during registration.
• Use the services only in compliance with all applicable laws and regulations.

3. Services Provided

PANDR UG provides a platform through "Blessed" where users can create their own customized API solutions, which abstract web3 complexities into a REST API. We also offer a builder tool allowing organizers and artists to create and monetize events or happenings using our API.

4. Subscription and Payment

Our services are offered on a subscription basis. Users can choose from various subscription plans, which may vary in pricing and features.

• Payment Methods: Payments can be made via credit card, cryptocurrency, or other methods provided through our payment processors, including Stripe, Crypto, and Circle.
• Billing Cycle: Subscription fees will be charged at the start of your billing cycle (monthly or annually).
• Failure to Pay: If payment is not successful, we reserve the right to suspend or terminate your access to our services.

5. User Obligations

By using our services, you agree to:

• Not use the services in any way that violates any law or regulation.
• Not spam, misuse, or exploit the platform.
• Maintain the security and confidentiality of your account.

We reserve the right to terminate any account that violates these obligations.

6. Cancellation and Refund Policy

You may cancel your subscription at any time. Refunds will be handled in accordance with applicable laws for online services, including the provisions of German consumer protection law.

7. Limitation of Liability

To the fullest extent permitted by law, PANDR UG is not liable for:

• Any indirect, incidental, or consequential damages.
• Any issues or interruptions in services beyond our control, including but not limited to:
  • Blockchain technology malfunctions.
  • Third-party wallet providers.
  • Payment processor issues.
  • Third-party hosting services (e.g., AWS, Vercel).

Our liability is limited to the amount you paid for the services in the last 12 months, or €100, whichever is higher.

8. Termination of Services

We reserve the right to terminate or suspend your access to the service if you:

• Violate any of these terms.
• Harm or threaten the security of other users, our platform, or third parties.
• Engage in illegal activities.

In such cases, no refund will be provided for any remaining subscription period.

9. Modifications to Terms

We may modify these terms at any time. If changes are made, you will be notified either by email or through a notification the next time you log into our service.

Your continued use of the services after changes are posted will constitute your acceptance of the modified terms.

10. Intellectual Property

All content, branding, and intellectual property rights associated with our services belong solely to PANDR UG. You may not copy, modify, or distribute any aspect of our services without our express written permission.

Our services may integrate third-party services, including:

• Insomnia and APIDogs for API management.
• Vercel and AWS for hosting.
• Stripe, Crypto, and Circle for payment processing.

We are not responsible for the terms or actions of these third-party providers, and your interaction with these services is subject to their respective terms and policies.

12. Governing Law and Jurisdiction

These terms are governed by the laws of Germany. Any disputes arising out of or in connection with these terms shall be resolved in the courts of Berlin, Germany.
